Conflict Minerals Policy
The United States Securities and Exchange Commission ("SEC") has adopted annual disclosure requirements under the Dodd-Frank Wall Street Reform and Consumer Protection Act regarding conflict minerals. Public companies are required to disclose whether certain minerals that are necessary to the functionality or production of their manufactured or contracted products originate from the Democratic Republic of the Congo (DRC) or any of its nine adjoining countries. These minerals, referred to as "conflict minerals," include tantalum (columbite-tantalite), tin (cassiterite), tungsten (wolframite), and gold—commonly known as the “3TGs.”
GardenProGear supports the humanitarian goal of ending violence and human rights abuses in the Democratic Republic of the Congo, which are believed to be partially financed by the mining and trade of conflict minerals. GardenProGear is committed to building a conflict-free supply chain and works closely with its suppliers to increase transparency regarding the origin of minerals contained in its products.
GardenProGear requires its suppliers to conduct reasonable due diligence on their own suppliers to determine whether any 3TGs contained in products supplied to GardenProGear originate from the DRC. If so, suppliers must identify the specific smelters and mines, and verify whether they have been independently certified by a third party as "conflict-free."
GardenProGear is also committed to complying with all conflict minerals requirements under the Dodd-Frank Act, as well as all related rules and regulations issued by the SEC.
